1. INTRODUCTION

These Terms of Service ("Terms") govern your use of VINETALK (the "Service"), operated by VINETALK INTERACTIVE PTE. LTD. ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

2. DEFINITIONS

In these Terms:

  • "Content" means any data, text, audio, video, images, or other materials processed through our AI service.
  • "Service" means the VINETALK platform and all related services.
  • "Subscription" means the recurring payment arrangement for accessing our Service.
  • "User", "you", or "your" means any individual or entity using our Service.

3. ELIGIBILITY

To use our Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using AI services under applicable laws
  • Not have been convicted of a serious crime
  • Comply with these Terms

4. SUBSCRIPTION AND PAYMENT

4.1 Subscription Plans

We offer three subscription tiers:

  • Basic Plan: $59 per month
  • Advanced Plan: $79 per month
  • Professional Plan: $99 per month

4.2 Free Trial and Promotions

New users may be eligible for promotional pricing during their first month of subscription.

4.3 Payment and Billing

  • All subscriptions are billed on a monthly basis and will automatically renew unless cancelled.
  • Payments are processed through secure third-party payment processors.
  • By subscribing, you authorize us to charge your chosen payment method on a recurring basis.
  • All prices are listed in US Dollars. Additional fees may apply for currency conversion.
  • Applicable taxes will be added to all subscription payments according to local laws.

4.4 Cancellation

  • You may cancel your subscription at any time through your account settings.
  • Upon cancellation, you will maintain access to the Service until the end of your current billing period.
  • No refunds will be issued for partial subscription periods.

4.5 Refunds

We offer refunds under specific circumstances:

  • For new users within 3 days of initial payment
  • In cases of extended service unavailability (48+ consecutive hours)
  • When substantial changes to service terms are not accepted by the user

5. SERVICE USE AND LIMITATIONS

5.1 Acceptable Use

You agree to use our Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service for any illegal activity or to violate the rights of others
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to generate content that is defamatory, obscene, or harmful
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
  • Interfere with or disrupt the integrity or performance of the Service

5.2 Content Restrictions

You shall not use the Service to create, upload, or distribute content that:

  • Infringes on intellectual property rights
  • Contains malware, viruses, or other harmful code
  • Promotes discrimination, bigotry, racism, or violence

  • You retain all rights to the content you input into the Service.
  • By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service to you.
  • You represent and warrant that you have all necessary rights to the content you provide and that our use as contemplated in these Terms will not infringe any third-party rights.

6.3 AI-Generated Content

  • The ownership of AI-generated outputs is determined based on applicable law and the nature of your inputs.
  • You are responsible for ensuring any use of AI-generated content complies with applicable laws and third-party rights.

7. PRIVACY AND DATA PROTECTION

We collect, use, and protect your personal information as described in our Privacy Policy, which is incorporated by reference into these Terms.

8. TERM AND TERMINATION

8.1 Term

These Terms will remain in effect until terminated by either you or us.

8.2 Termination by You

You may terminate these Terms by cancelling your subscription and ceasing all use of the Service.

8.3 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, for:

  • Violation of these Terms
  • Engaging in fraudulent activity
  • Non-payment of subscription fees
  • As required by law or court order

8.4 Effect of Termination

Upon termination:

  • Your right to access the Service will cease
  • Any outstanding payment obligations will remain
  • Sections of these Terms that by their nature should survive termination shall survive

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT GENERATED BY THE SERVICE WILL BE ACCURATE, RELIABLE, OR FREE FROM ERRORS.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY CONTENT GENERATED THROUGH THE SERVICE
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • ANY OTHER MATTER RELATING TO THE SERVICE IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

9.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If such negotiations fail, the dispute shall be finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre.

11.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or by email. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

13. MISCELLANEOUS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
